1. Parties and acceptance

These Terms of Service ("Terms") form a binding agreement between you and Loretta Health UG, a limited liability company organised under German law with registered office in Berlin ("Loretta", "we", "us"), commercial register Amtsgericht Charlottenburg, HRB 269976 B

By creating an account, downloading, or using the Loretta consumer app for iOS or Android (the "App"), you confirm that you have read, understood, and accept these Terms and the separate Privacy Policy. If you do not accept these Terms, do not install or use the App.

2. The service

The App is a wellness and prevention tool for adults. It collects health-related information you choose to provide and from connected wearables, and returns prevention insights and risk scores generated by Loretta's models.

2.1 Not a medical device

The App is not a medical device under Regulation (EU) 2017/745 (MDR). It does not diagnose, treat, cure, or prevent disease. It is not intended to be used in place of professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare professional regarding any medical condition. Never disregard professional medical advice or delay seeking it because of something you have read or seen in the App.

2.2 Emergency use

The App is not designed for use in medical emergencies. If you believe you are experiencing a medical emergency, contact your local emergency services immediately (in Germany: 112).

3. Eligibility

You may use the App only if you are at least 16 years old and have the legal capacity to enter into a binding agreement. The App is offered initially in Germany and may be extended to other EU member states; you are responsible for compliance with any local laws applicable to your use.

4. Account registration

To access most features you must create an account. You agree to provide accurate information, keep it up to date, and safeguard your credentials. You are responsible for all activity that occurs under your account. Notify us immediately at mail@loretta.care if you believe your account has been compromised.

5. Pricing and subscriptions

The App offers free features and may offer paid subscription tiers ("Subscriptions"). Subscriptions are billed through Apple's App Store or Google Play under the terms of those stores. Pricing, billing cycles, and renewal terms are shown at point of purchase.

5.1 Right of withdrawal (Widerrufsrecht)

As a consumer in the European Union you have a 14-day right of withdrawal under §§ 312g, 355 BGB. You can withdraw within 14 days of purchase without giving a reason.

Important: By starting to use a paid digital service before the end of the 14-day period, you expressly request immediate performance and acknowledge that the right of withdrawal expires once full performance has begun (§ 356 (5) BGB). You will be asked to confirm this in-App at point of purchase.

Cancellations of recurring subscriptions take effect at the end of the current billing period. To cancel, manage your subscription in your App Store or Google Play account.

The App, including all software, models, content, designs, trademarks, and documentation, is owned by Loretta or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, solely for your personal, non-commercial use, for so long as these Terms remain in effect.

You retain ownership of the content and personal data you submit. You grant Loretta a limited licence to host, process, and display that content as necessary to operate the App and as set out in the Privacy Policy.

8. Third-party services and integrations

The App may connect to third-party services such as Apple Health, Google Health Connect, or external wearables. Your use of those services is subject to their own terms and privacy policies. Loretta is not responsible for the practices of third-party providers.

9. Warranty disclaimer

The App is provided "as is" and "as available". To the maximum extent permitted by applicable law, and without prejudice to any statutory consumer rights you have under German law, Loretta makes no representations or warranties of any kind, express or implied, regarding fitness for a particular purpose, accuracy, completeness, or uninterrupted operation of the App.

The risk scores, recommendations, and other outputs generated by the App are informational and are not a substitute for medical judgement.

10. Liability

Loretta is liable without limitation for damages arising from intent or gross negligence, for damages arising from injury to life, body, or health attributable to Loretta, and for liability under the German Product Liability Act (Produkthaftungsgesetz).

In cases of slight negligence, Loretta is liable only for the breach of essential contractual obligations (Kardinalpflichten), and only up to the foreseeable damages typical for this type of contract. Essential contractual obligations are those whose fulfilment is necessary to achieve the purpose of the contract and on whose observance you may regularly rely.

Any further liability for slight negligence is excluded. The limitations above do not affect mandatory statutory liability or your statutory consumer rights.

11. Term and termination

These Terms apply for as long as you use the App. You may terminate at any time by deleting your account in-App or by emailing mail@loretta.care.

We may suspend or terminate your account with reasonable notice for material breach of these Terms, suspected fraud, or where required by law. Where possible we will give you the opportunity to cure the breach before termination.

Upon termination, the licence granted under section 7 ends. The Privacy Policy continues to govern data we are required to retain (for example for tax purposes).

12. Changes to these Terms

We may update these Terms to reflect changes to the App, our business, or applicable law. Material changes will be notified in-App and by email at least 30 days before they take effect. If you do not agree, you may terminate your account before the changes come into force.

13. Dispute resolution

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection laws of your country of residence remain unaffected.

Place of jurisdiction is Berlin, to the extent permitted by law. For consumers, the statutory rules on jurisdiction apply.

The European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr. Loretta is not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

14. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision will be replaced with a valid one that comes closest to the intended economic purpose.
